Victoria P.L.C. - Director's Interest

The Company was informed on 27th August 1998 that 20,000
shares were transferred for nil consideration into a trust
for the daughter of Alexander Anton.  Following this
transaction, Mr Anton has a non beneficial interest in
615,000 Ordinary shares representing 9.0 per cent of the
issued share capital of Victoria P.L.C.  His beneficial
shareholding remains unchanged.
