    Vigilant Technologies Ltd ("Vigilant" or the "Company")

    Posting of the circular relating to the recommended acquisition of Vigilant by BATM Advanced Communications Limited ("BATM")

    Vigilant announces that, in relation to the proposed merger (the "Merger") to be made between Vigilant and BATM, a document containing,
inter alia, a letter from the Chairman of Vigilant recommending the Merger, an expected timetable of principal events and details of the
action to be taken by Vigilant shareholders (the "Circular") is being posted to Vigilant shareholders today, 14 July 2008.

    As described in the Circular, completion of the Merger is dependent on the passing of special resolutions at an extraordinary general
meeting (the "Vigilant EGM") which will be held at 10.00 a.m. 34 Habarzel Street, Tel Aviv, Israel on 20 August 2008. The Merger will also
require subsequent sanction and confirmation by the Registrar of Companyies in Israel.

    The directors of Vigilant are unanimously recommending that Vigilant shareholders vote in favour of the Merger at the Vigilant EGM. On
the basis of the current timetable for the Merger, and assuming the requisite approvals are received from Vigilant shareholders at the
Vigilant EGM, the effective date of the Merger is expected to be 22 September 2008.

    A copy of the Circular will be available for inspection during normal business hours at the offices of Zellermayer, Pelossof & Co, The
Rubinstein House, 20 Lincoln Street, Tel Aviv 67134, Israel. Pursuant to AIM Rule 20, the Circular will also be available on the Company's
website at: www.vigilanttechnology.com.

    Vilgilant's shares are currently suspended due to the Company's failure to publish and distribute its audited report and accounts for
the year ended 31 December 2007 by 30 June 2008 in compliance with AIM Rule 19. It is not anticipated that Vigilant will publish its report
and accounts for the year ended 31 December 2007 prior to the completion of the Merger. Consequently, it is unlikely that trading of
Vigilant's shares on AIM will be restored before it formally delists from AIM.

    In accordance with AIM Rule 41, Vigilant hereby notifies shareholders that, subject to shareholder approval at the Vigilant EGM to be
held on 20 August 2008, it is expected that the Company's listing on AIM will be cancelled on 28 August 2008.
