At the Annual Meeting of Shareholders of the Corporation, held on June
6, 2023, shareholders voted on three proposals. The Corporation’s definitive proxy statement on Schedule 14A filed with the Securities
and Exchange Commission on April 27, 2023 describes each proposal in detail. Each of the three proposals and vote counts are included
below.
