( 1)  The number of shares reflects a 5-for-1 Reverse Stock Split of the Company's issued and outstanding common stock, $0.001 par value per share, effective September 14, 2012.
( 2)  50% of the Restricted Stock Units will vest in full on the first anniversary of the date of grant, and the remaining 50% will vest in full at the two year anniversary of the date of grant.
( 3)  This price reflects a 5-for-1 Reverse Stock Split of the Company's issued and outstanding common stock, $0.001 par value per share, effective September 14, 2012.
( 4)  25% of the option shares shall vest on the first anniversary of the Grant Date and the balance of the option shares shall vest in 36 equal consecutive monthly installments thereafter until fully-vested.
