( 1)  Includes a restricted stock unit award that vests as to 5,040 shares on May 1, 2012 and the remaining 9,960 shares in 24 equal monthly installments on the first day of the month, beginning on June 1, 2012, subject to continued employment of the reporting person with GeoResources, Inc.
( 2)  Includes a restricted stock unit award that vests as to 5,440 shares on January 1, 2013 and the remaining 10,560 shares in 24 equal monthly installments on the first day of the month, beginning on February 1, 2013, subject to continued employment of the reporting person with GeoResources, Inc.
( 3)  Each restricted stock unit represents the contingent right to receive one share of common stock of GeoResources, Inc.
( 4)  The option vests in two equal annual installments beginning on February 3, 2012.
