State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report, or portion thereof, could not be filed within the prescribed time period.

Hirsch International Corp. (the “Company”) is unable to file its Annual Report on Form 10-K for its fiscal year ended December 31, 2008 (the “Form 10-K”) within the prescribed time period without unreasonable effort or expense as a result of accounting matters relating to its acquisition of 80% of the outstanding equity interest in U.S. Graphic Arts, Inc., which acquisition was completed on August 4, 2008. The Company expects to file its Form 10-K within 15 calendar days of the U.S. Securities and Exchange Commission’s prescribed due date.

The Company expects that the Form 10-K will report a decrease in net sales from approximately $52.6 million in 2007 to approximately $42.5 million in 2008 and a decrease in its cost of sales from approximately $32.9 million in 2007 to $29.7 million in 2008. The Company also expects to report an increase in its operating expenses from approximately $17.8 million in 2007 to $19.9 million in 2008.
