KTII K-Tron International (MM)

Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of K-Tron International, Inc. (“K-Tron” or the “Company”) (Nasdaq:KTII) related to the Company’s agreement to be acquired by Hillenbrand, Inc. in a cash transaction valued at approximately $435 million.

Under the terms of the definitive merger agreement entered into by the parties, a subsidiary of Hillenbrand will merge with and into K-Tron, with the shareholders of K-Tron receiving $150 per share in cash for their common stock, and K-Tron will operate as a wholly owned subsidiary of Hillenbrand. Completion of the transaction is expected to occur at the end of March 2010. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the merger agreement by the K-Tron board of directors.
