This Registration Statement on Form S-8 (this “Registration Statement”) registers 3,221,186 additional shares of common stock of nLIGHT, Inc. (the “Registrant”) to be issued under the Registrant's 2018 Equity Incentive Plan (the “2018 Plan”) and the Registrant's 2018 Employee Stock Purchase Plan (the “2018 ESPP”).
