Bernstein Liebhard LLP is investigating whether the Board of Directors of Micrus Endovascular Corp. (“Micrus” or the “Company”) (NASDAQ: MEND) breached its fiduciary duty to its shareholders in agreeing to sell Micrus to Johnson & Johnson (“J&J”) (NYSE: JNJ).

Under the terms of the agreement, Micrus shareholders will receive $23.40 in cash for each share they own, a small premium compared to the Company’s closing price on Friday, placing the total value of the transaction at approximately $480 million. J&J expects the deal to close in the second half of 2010. The investigation is focused on the potential unfairness of the price to Micrus shareholders and the process by which the Micrus Board of Directors considered and approved the transaction.
