Change in Independent Registered Public Accounting Firm
The Companys independent registered accounting firm, or principal accountant, for the fiscal year ended December 31,
2017 was BDO USA, LLP. In 2018, the Audit Committee of the Board of Directors of the Company conducted a competitive selection process to determine the Companys independent registered public accounting firm for the fiscal year ending
December 31, 2018. As a result of this process, on March 13, 2018, the Audit Committee of the Board of Directors of the Company dismissed BDO USA, LLP. BDO USA, LLPs audit reports on the Companys consolidated financial
statements as of and for the years ended December 31, 2017 and December 31, 2016 did not contain any adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles.
During the two fiscal years ended December 31, 2017 and the subsequent interim period through March 13, 2018,
there were (i) no disagreements between the Company and BDO USA, LLP on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedures, which, if not resolved to the satisfaction of BDO USA,
LLP, would have caused BDO USA, LLP to make reference thereto in their reports on the consolidated financial statements for such years, and (ii) no reportable events as that term is defined in Item 304(a)(1)(v) of Regulation
S-K.
On March 13, 2018, the Audit Committee of the Companys Board of
Directors engaged Crowe as the Companys independent registered public accounting firm, effective March 13, 2018. During the two fiscal years ended December 31, 2017 and the subsequent interim period preceding the selection of Crowe,
the Company did not consult with Crowe regarding: (1) the application of accounting principles to a specified transaction, either completed or proposed; (2) the type of audit opinion that might be rendered on the Companys financial
statements, and Crowe did not provide any written report or oral advice that Crowe concluded was an important factor considered by the Company in reaching a decision as to any such accounting, auditing or financial reporting issue; or (3) any
matter that was either the subject of a disagreement with BDO USA, LLP on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure or the subject of a reportable event.
