Explanation of Responses:
( 1)  Based upon a reconciliation of the reporting person's records, the total shares owned by the reporting person as shown on his last-filed Form 4 underreported his ownership by 1,833 shares. This Form 5 is being filed to report those shares collectively, but the reporting person is unable to identify any specific transaction or transactions for the acquisistion of such shares, and the discrepancy may be due to previous mathematical errors.
( 2)  Represents previously unreported reinvestment of dividends to purchase additional shares under a "DRIP" program over an extended period of time prior to October, 2008, at an average price of $12.07 per share.
