promissory notes dated October 15, 2008, between ZipLocal Inc. (the
"Company") and J.L. Albright IV Venture Fund L.P., J.L. Albright IV
Parallel Venture Fund L.P. and J.L. Albright IV Parallel II Venture Fund
L.P. (collectively, the "Lenders"), pursuant to which the Lenders agreed
to increase the total principal loan amount from $1,000,000 to
$1,750,000. Commencing October 15, 2008, the Company may drawdown on the
additional $750,000 principal loan amount in three advances of $250,000
("Additional Advance") each at any time before maturity. As consideration
for increased loan amount, the Company must pay the Lenders an aggregate
drawdown fee of $30,000 for each Additional Advance. The loan matures on
May 19, 2009. The interest rate will be 12% per annum (increasing to 20%
per annum in the event of default) and will be calculated and payable
monthly in arrears until maturity.
All other terms of the loan remain unchanged. The Exchange notes that
there are no additional security issuances in connection with the
amendment.
