Plan of Arrangement
Pursuant to a special resolution passed by the shareholders of Terrenex
Acquisition Corporation, (Terrenex), on March 26, 2007, Terrenex,
1289166 Alberta Ltd, 1288945 Alberta Ltd, and 1288942 Alberta Ltd have
completed a Plan of Arrangement (the Arrangement) under Section 193 of
the Business Corporations Act (Alberta). The Arrangement was completed
on November 28, 2007 and has resulted in, among other things, the
amalgamation of 1289166 Alberta Ltd and 1288942 Alberta Ltd to form
Terrenex Ltd. (the "Company) and the transfer of all assets and
liabilities of Terrenex to the Company, excluding a contingent
liability arising from reassessments of Terrenex's 1995 corporate
reorganization by Canada Revenue Agency and Alberta Corporate Tax
Administration (collectively, the Tax Liability) and $750,000 in cash.
Under the terms of the Arrangement all outstanding common shares in the
capital of Terrenex were exchanged on a share for share basis for
common shares of the Company and all of the outstanding Class B shares
of Terrenex were exchanged on a share for share basis for Class B
shares of the Company.

Information Circular of Terrenex dated February 27, 2007 as well as
news releases of Terrenex dated March 27, 2007 and November 28, 2007.

The Company is classified as a company involved in financial investment
activities.

Name Change
Pursuant to a resolution passed by shareholders on March 26, 2007, in
the context of the Arrangement, the Company has changed its name from
Terrenex Acquisition Corporation to Terrenex Ltd. There is no
consolidation of capital.

Transfer and New Addition to NEX
In accordance with TSX Venture Policy 2.5, upon completion of the
