Dale Ginn, Chief Executive Officer of SGX Resources Inc. (the "Company") (TSX
VENTURE:SXR), today announced an offering of up to 50,000,000 units of the
Company ("Units") at a price of $0.05 per Unit for aggregate gross proceeds of
up to $2,500,000. Each Unit consists of one common share (a "Common Share") of
the Company issued as a "flow-through share" within the meaning of the Income
Tax Act (Canada) (a "Flow-Through Share") and one-half of one non-flow-through
Common Share purchase warrant (a "Warrant"). Each whole Warrant is exercisable
into one Common Share at a price of $0.10 for a period of three years from the
date of issuance. If at any time after four months following the issuance of the
Warrants the closing price of the Common Shares is $0.15 or more for a period of
ten consecutive trading days, the Company will have the right to call the
Warrants and holders of Warrants shall have 30 days to exercise their Warrants
or the Warrants shall expire.


The gross proceeds from the sale of the Units are anticipated to be used for
Canadian exploration expenses.


All securities issued will be subject to a four-month hold period. The offering
is subject to a number of conditions, including, without limitation, receipt of
all regulatory approvals.
