Terraco Gold Corp. (TSX VENTURE:TEN) ("Terraco" or the "Company") is pleased to
announce that, at its annual general meeting of shareholders held on May 29,
2013, Terraco's shareholders approved, among other things, subject to regulatory
approval in certain circumstances, the following matters:




--  the Advance Notice Policy of the Company dated April 20, 2013, and the
    alteration of the Company's Articles to include provisions requiring
    advance notice of director nominees from shareholders, as more
    particularly described in Terraco's news release dated April 10, 2013;
    and

--  the Shareholder Rights Plan of the Company dated April 16, 2013, as more
    particularly described in Terraco's news release dated April 16, 2013.

gold royalty and royalty option for up to a 3% NSR on the Spring Valley Project
(Nevada), which is a joint venture between the world's largest gold producer,
Barrick Gold Corporation, and Midway Gold Corp. Barrick has reported that it has
spent US$30 Million on the Spring Valley Project to earn a 60% interest in that
project. Barrick recently declared its intention to expend an additional US$8
Million on the Spring Valley Project before December 31, 2014, in order to earn

kilometres of early-stage exploration potential at its Moonlight Project, which
