/CNW/ - Sol Cuisine Ltd. (TSXV: VEG) ("Sol Cuisine" or the
"Company") would like to remind shareholders of the upcoming
special meeting of the shareholders of the Company ("Sol
Shareholders") to be held virtually on January 7, 2022 at 10:00
a.m. (Toronto time) (the
"Meeting").
The purpose of the Meeting is to seek Sol Shareholder approval
of the proposed acquisition by PlantPlus Foods Canada Inc. of all
of the outstanding common shares, all of the outstanding common
share purchase warrants and compensation options, and all of the
outstanding stock options of Sol Cuisine, pursuant to a plan of
arrangement under the Business Corporations Act
(Ontario) (the
"Arrangement"), all as more particularly described in the
Company's management information circular dated as of December 7, 2021 (the "Circular").
At the Meeting, Sol Shareholders will be asked to consider and
vote on a special resolution to approve the Arrangement (the
"Arrangement Resolution"). The Arrangement Resolution must
be approved, with or without variation, by the affirmative vote of
(i) at least two-thirds of the votes cast on the Arrangement
Resolution by Sol Shareholders, present in person or represented by
proxy at the Meeting; and (ii) a simple majority of the votes cast
on the Arrangement Resolution at the Meeting by Sol Shareholders,
present in person or represented by proxy at the Meeting, excluding
the votes of Dror Balshine, as well
as the votes of Michael Fata
(268,465 Sol Shares) and John Flanagan (190,565
Sol Shares), as they may each also be deemed to be receiving
a "collateral benefit" under the Arrangement given that they each
(a) beneficially own more than 1% of the outstanding Sol Shares, as
calculated in accordance with MI 61-101, and (b) the aggregate
benefit they will each receive for the accelerated vesting of Sol
Options may exceed 5% of the value of the consideration they will
each receive under the Arrangement for the Sol Shares they each
beneficially own.
Sol Shareholders are encouraged to carefully review the
Circular, as it contains important information regarding the
Arrangement and its consequences to Sol Shareholders. In order to
streamline the Meeting process, the Company is encouraging Sol
Shareholders to vote in advance of the Meeting using the voting
instruction form or the form of proxy mailed to them and ensuring
the applicable form is submitted to the Company's transfer agent by
no later than 10:00 a.m.
(Toronto time) on January 5, 2022, the cut-off time for deposit of
proxies prior to the Meeting.
