The Registrant did not obtain all the necessary information prior to the filing date, the attorneys and accountants could not complete the required legal information and financial statements, and management could not complete the Management’s Discussion and Analysis of such financial statements prior to the filing deadline.

The registrant anticipates a significant change in its results of operations for the quarter ended September 30, 2021, as compared to the quarter ended September 30, 2020, as the registrant completed an acquisition of Breunich Holdings, Inc. in July 2021. A reasonable estimate of the results of operations could not be made as of the current date as the registrant’s accountants are still preparing the registrant’s results of operations.
