The annual report of the registrant on Form 10-K could not be timely filed because management requires additional time to compile and verify the data required to be included in the report.  The report will be filed within fifteen calendar days of the date the original report was due.

The Company anticipates that during the fiscal year ended September 30, 2012 total revenues will have decreased approximately 49% compared to the fiscal year ended September 30, 2011.  This decrease is primarily attributable to a 46% decline in vessel revenues and a 59% decrease in geophysical service revenues.
 
The Company believes that total costs and operating expenses will have decreased approximately 31% during the twelve months ended September 30, 2012.  This decrease is principally related to an anticipated 45% decrease in vessel operating costs and an anticipated 36% decrease in cost of geophysical service revenues as the Company continued its efforts to control costs in conjunction with decreased revenues.
 
The Company expects to realize a loss from operations for the year ended September 30, 2012 of approximately $10.6 million compared to loss from operations of approximately $2.1 million during the year ended September 30, 2011. This change is largely attributable to decreases in vessel and geophysical services revenues, which the Company was unable to completely offset through reductions in operating expenses.
 
During fiscal 2012, the Company anticipates realizing a net loss attributable to Caspian Services of approximately $14.9 million, compared to a net loss attributable to Caspian Services of $9.7 million, during fiscal 2011.
