Although the management of Citizens Bancorp of Virginia, Inc. (the “Company”) has been working diligently to complete all the required information for its quarterly report on Form 10-Q for the period ended September 30, 2010 (the “Form 10-Q”), the Company and its auditors were unable, without unreasonable effort or expense, to complete the financial statements and other disclosures for the Form 10-Q on or before November 15, 2010.  The delays in the filing are related to implementing the additional and revised disclosures in the Form 10-Q requested in recent comments to the Company by the Securities and Exchange Commission.  Management expects to file the Form 10-Q on or before November 22, 2010.
