QSPW Quantum Solar Power Corp (CE)

Quantum Solar Power Corp. ("Quantum") (OTCBB: QSPW) is pleased to announce it has retained the public relations company Vorticom Inc. ("Vorticom"). Vorticom will work with Quantum to increase the company's media exposure within North America.

Under the terms of the Agreement, Vorticom has agreed to provide Quantum with public relations services within print, electronic and broadcast media and with other communication activities. The Agreement is effective July 5, 2011 and is for a term of 12 months. In consideration of Vorticom's business advisory services, Quantum will pay $5,625 USD per month and grant 1,875 warrants (the "Warrants") each month, to purchase shares of Quantum's common stock at an exercise price of $1.00 until the earlier of July 5, 2012 or the termination of the Agreement. The Warrants are to be issued quarterly. Quantum has agreed to reimburse Vorticom for applicable out-of-pocket expenses and may cancel the Agreement at any time by providing 30 days notice. The Warrants and any shares issued on exercise of the Warrants will be issued pursuant to the provisions of Rule 506 of Regulation D of the Act. Vorticom represented that it was an accredited investor as defined under Regulation D.
