EXPLANATORY NOTE:  The purpose of this Form 8-K/A Current Report is to amend the Form 8-K Current Report filed with the Securities and Exchange Commission on August 9, 2011 to remove all references to Jack Zwick.  The reference to Mr. Zwick was inadvertent and should have made reference to Mr. Airington.

On August 2, 2011, Everett Airington resigned as a director of Solar Energy Initiatives, Inc. (the “Company”).  There is no disagreement known to any executive officer of the Company between the Company and Mr. Airington on any matter relating to the Company’s operations, policies or practices.
