that it is
working with TNW Wireless Inc. ("TNW Wireless") to
plan
the upgrade of
TNW Wireless' network in Canada in order to
provide next
generation
mobile technology with iPCS and 5G services.
The plan will see each TNW
Wireless site upgraded with four high gain/high power flat
panel antennas, and each 90 degree panel will
be individually connected to a 40 watt (2x20W) radio. This
unique and very high
density
configuration will increase the coverage area using TNW
Wireless'
850
MHz
spectrum and 25 MHz of bandwidth. The
new eNodeB radios will replace
the
NodeB
radios
TNW
Wireless
presently
uses. TNW Wireless
currently
operates its own 3G
Core
Network and is preparing deployment of
a
new LTE EPC core
with the use of high performance virtual HeNodeB Gateways in
a
decentralized environment in order to
maximize global throughput to its macro and small cell sites.
This new infrastructure is being specially engineered by
TNW Wireless for rapid
deployment.
In June
2017, UnitedCorp announced its
intent to purchase TNW Wireless, and the closing of this
transaction is awaiting a decision by the Canadian Radio-television
and Telecommunications Commission (the "CRTC") on TNW Wireless'
Part 1 Application of July 2017 to compel Bell Mobility Inc.
("Bell") (a subsidiary
of Bell
Canada Enterprises Inc., TSX: BCE, NYSE:
BCE) and Telus Corporation
("Telus") (TSX: T) to provide the company with
roaming agreements as mandated by Telecommunications Regulatory
Policy CRTC 2015-177. In the
interim, UnitedCorp maintains the
operation and maintenance of the TNW Wireless network
for
compliance
with the conditions of license for the
TNW Wireless spectrum. TNW Wireless
licensed spectrum signals
currently reach the majority of the
population within its service areas and it soon expects to continue
expanding
its
coverage.
Bell and Telus have to
date refused to provide roaming
agreements, initially arguing that TNW Wireless' iPCS technology
uses Wi-Fi to provide GSM services (talk and text) when connected
to a Wi-Fi access point outside the TNW Wireless spectrum
coverage area, and that this would leave such
customers "permanently roaming" on their network. This was in reference
to CRTC decisions CRTC 2017-56 and 2017-57 against Sugar Mobile
Inc. ("Sugar
Mobile"),
a Mobile Virtual Network Operator ("MVNO") which was a
"non-facilities-based operator" (an operator without its own
spectrum or physical network
facility). However with its own licensed
spectrum and physical network, TNW Wireless
is not an MVNO
and is therefore materially different from
Sugar Mobile.
On March 23,
2018, CRTC
2018-97 the CRTC ruled that a
wireless operator cannot "extend" its home network using Wi-Fi.
Again, this was directed
primarily
at
MVNO's and non-facilities-based
operators. Notwithstanding
this
ruling, on
March 24, 2018 the CRTC wrote to TNW Wireless permitting the
company to continue with its Part 1 Application
which had been
put on hold by the Commission pending this
decision.
In light of CRTC
2017-56/57
and CRTC
2018-97, TNW Wireless has maintained its
position with the CRTC
that
since
iPCS
users
on Wi-Fi
automatically
disconnect from any roaming partner and use TNW Wireless' network
exclusively, these customers cannot be
considered "roaming" as they are not connected to any roaming
partner nor are they extending their network since they are connected directly
to the TNW Wireless
network. As such the company maintains
that its approach is fully compliant with the current regulatory
environment and the spirit of the underlying public
policy.This position is only strengthened by the
recent CRTC decision.
TNW Wireless
has
provided the CRTC
with extensive support and documentation for its
Application, within established
timelines. Final documentation was
provided in October 2018 and the company now awaits the
Commission's decision. All the company's

TNW Wireless believes
that iPCS strikes the perfect balance between
the CRTC's desire to give the dominant wireless operators
an incentive to invest in their
networks and the Federal Government's
stated policy of allowing Canadians
to benefit from innovation and increased
competition, as Canadian consumers
currently pay
amongst the highest cellphone rates in world.

CRTC's March 1st 2017 Telecom
Decision 2017-56/57
against Sugar
Mobile's use of public Wi-Fi to provide some of its

sophisticated technology and not just an
over-the-top
application. It was developed to be
fully regulatory-compliant and to support Canadian public
policy."
Pending the CRTC
decision on TNW Wireless' Application, UnitedCorp
will
continue
to
provide back
office, network and cloud infrastructure to
support backhaul connectivity to TNW Wireless
sites as well as the Core Network for
mobile
connectivity for Cellular and Smartphone-over-IP cloud
spectrum services.
TNW Wireless
currently covers parts of the
Canadian
Northwest including two of the seven
communities in
Haida
Gwaii, British
Columbia.
The company expects to focus its current deployment
expansion in Haida Gwaii with the goal of
providing the region
with
more
comprehensive
coverage. In addition to
Haida
Gwaii, the TNW Wireless
network
currently
covers Fort
Nelson, British Columbia as well as most of
Whitehorse, Yukon and the company has
expansion plans
to include much of the Alaska Highway.
