Item 5.02 (e) Departure of Directors or Certain Executive Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 10, 2007 the Board of Directors of Epic Bancorp, based on a recommendation from its Compensation Committee, increased the Salary of Mark Garwood, Chief Executive Officer of the Company, from $235,000 per year to $260,000 per year, effective January 1, 2008.

Item 8.01 Other Events.

On December 10, 2007 the Board of Directors of Tamalpais Bank, a subsidiary of Epic Bancorp, appointed Mark Garwood as Chairman of Tamalpais Bank. Dr. Carolyn Horan, the previous Chairman of Tamalpais Bank, has been appointed Vice Chairman of Tamalpais Bank.
