Item 2.02 Results of Operations and Financial Condition

On January 23, 2008, Epic Bancorp announced by press release its earnings for the three and twelve months ended December 31, 2007. A copy of the press release is attached hereto as Exhibit 99.1. The press release incorporated herein as Exhibit 99.1 is not filed but furnished pursuant to Regulation FD.

On January 22, 2008 the Board of Directors of the Company declared a $0.05 per share dividend, payable on February 29, 2008, to shareholders of record as of February 15, 2008.
