Item 8.01     Other Events.
 
On February 1, 2008, AVP, Inc. (the “Company”) announced that the last day for submission of stockholder proposals intended for inclusion in the proxy statement for the annual meeting of the Company’s stockholders is March 7, 2008.
 
The 2008 annual meeting of the Company’s stockholders will be held on May 5, 2008 at 2:00 PM PST at the Company’s offices, 6100 Center Drive, Suite 900, Los Angeles, CA 90045.
