Items 5, 7 and 9 include 144,412 shares held as trustee of a Grantor Retained Annuity Trust, 510,958 shares held by the Hayden Investment Limited Partnership and 1,298,702 shares held by J & L Hayden Holdings Limited Partnership, each of which Mrs. Hayden controls all voting and investment power, 146,408 shares held directly by Mrs. Hayden’s spouse as trustee of a Grantor Retained Annuity Trust, and 15,500 shares that may be acquired through the exercise of options within 60 days by Mrs. Hayden’s spouse.
 
According to its Form 10-Q filed with the SEC on November 9, 2007, as of November 7, 2007, Midland had 19,391,797 shares of its Common Stock outstanding. Accordingly, Mrs. Hayden is deemed to beneficially own 10.9% of the outstanding Common Stock of Midland.
