Item 8.01 Other Events.

As previously announced on March 11, 2010, Veraz Networks, Inc. (“Veraz” or the “Company”) reached an agreement with the staff of the U.S. Securities and Exchange Commission (the “SEC”) related to the previously disclosed U.S. Foreign Corrupt Practices Act (the “FCPA”) investigation. On June 29, 2010, the SEC filed the settled federal court action in the U.S. District Court for the Northern District of California, alleging that Veraz violated the books and records and internal controls provisions of the FCPA. Veraz, without admitting or denying the allegations in the SEC’s complaint, consented to the entry of a final judgment permanently enjoining Veraz from future violations of Sections 13(b)(2)(A) and 13(b)(2)(B) of the Securities Exchange Act of 1934 and ordering Veraz to pay a penalty of $300,000.
