Mr. Eisenson is a Managing Director and the CEO of Charlesbank Capital Partners, LLC ("Charlesbank") and a Director of CIFC
Parent Holdings LLC ("CIFC Parent") and may be considered to have beneficial ownership of shares of common stock of the
Issuer held by CIFC Parent. Charlesbank CIFC Holdings, LLC, Charlesbank Equity Fund VI, Limited Partnership, CB Offshore Equity Fund
VI, L.P., Charlesbank Equity Coinvestment Fund VI, Limited Partnership and Charlesbank Coinvestment Partners, Limited Partnership
(collectively, the "Charlesbank Funds") are Members of CIFC Parent and have investment and voting control of CIFC Parent.
Investment and voting control of the Charlesbank Funds is held by Charlesbank. Mr. Eisenson disclaims beneficial ownership of all
such shares, except to the extent of his pecuniary interest therein.
