Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 5, 2019, Chene C. Gardner resigned as an officer and director of the registrant. Mr. Gardner was appointed as a director and the registrant’s Chief Executive Officer on July 11, 2017. In his letter of resignation, Mr. Gardner disclaimed and disavowed any foreknowledge of, or involvement with, or responsibility for, any rumors, communications or press releases disseminated on the internet over the past several months regarding the activities of the Company, none which have been substantiated by Mr. Gardner or the Company.
