Item 1.01. Entry into a Material Definitive Agreement.
On December 16,
2019, Sharing Economy International, Inc. (the “Company”) entered into a Stock Purchase Agreement (the “Agreement”)
with Sze Man Cheung, a Hong Kong citizen, for the purchase and sale of 2,500,000 shares of common stock for an aggregate amount
of US$705,000, or US$0.282 per share. The foregoing description of the Agreement does not purport to be complete and is qualified
in its entirety by reference to the complete text of the Agreement, which is incorporated herein by reference and attached hereto
as Exhibit 10.1.
Item 3.02 Unregistered Sale of Equity Securities.
The disclosure
set forth in Item 1.01 is incorporated by reference into this Item 3.02. The shares to be issued in connection with the transaction
shall be issued pursuant to an exemption from the registration requirements of the Securities Act of 1933, as amended (the “Securities
Act”), pursuant Section 4(a)(2) of the Securities Act and Regulation S promulgated thereunder.
