Item 1.01 Entry into a Material Definitive Agreement

  

On April 8, 2020, Sharing Economy International Inc (the “Company”) And shareholder of OOB HK Media HK Limited (“OOB HK”) Entered into a Share Exchange Agreement, whereby the Company shall issue 239,387,189 shares of series A convertible preferred stock at a price of $0.33 per share, in exchange of 100% ownership of OOB HK, which owns 100% of Tone Rich(Shangjai) Limited that holds 69.6% of OOB Media(Sichuan) Company Limited, an advertising media technology and agency company. Upon satisfying conditions required, both parties agreed to close the agreement on or before June 21, 2020. The foregoing description of the Share Exchange Agreement does not purport to be complete and is qualified in its entirety by reference to the complete text of the Agreement, which is incorporated herein by reference and attached hereto as exhibit 10.1.
