PART III — NARRATIVE

Management is in the process of finalizing the operating results of the quarter ended December 31, 2021. The information could not be assembled and analyzed without unreasonable effort and expense to the Registrant. The Company changed Auditing firms in 2021, the change of Auditors has made it more time consuming to coordinate between the auditing firms causing delays in getting the financial statements prepared in a timely manner. The Form 10-Q will be filed as soon as practicable and within the 5-day extension period.
