Item 2.02 Results of Operations and Financial Condition.

 

On November 15, 2022, Petros Pharmaceuticals, Inc. (the “Company”) issued a press release announcing its financial results for the fiscal quarter ending September 30, 2022. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.

 

The Company’s press release, furnished as Exhibit 99.1 hereto, contains a non-GAAP financial measure. Pursuant to the requirements of Regulation G, the Company has provided within the press release quantitative reconciliations of the non-GAAP financial measure to the most directly comparable GAAP financial measure. This non-GAAP financial measure is used in addition to and in conjunction with results presented in accordance with GAAP and should not be relied upon to the exclusion of GAAP financial measures.
