Part III - Narrative

 

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof could not be filed within the prescribed period.

 

MJ Harvest, Inc. (“MJHI” or “Registrant”) has determined that it is unable to file its Quarterly Report on Form 10-Q for the quarter ending February 28, 2023, within the prescribed time period without unreasonable effort or expense. Brad E. Her, the longtime Company CFO of the Registrant became ill during the second quarter of 2022 forcing his resignation. Mr. Herr remained a consultant of the Registrant but then passed away on December 22, 2022. The unexpected unavailability and passing of Mr. Herr resulted in the Registrant not being able to compile and file the Form 10-Q within the customary time period.

 

We currently anticipate that the Form 10-Q for the quarter ended February 28, 2023 will be filed as soon as practicable and no later than April 19, 2023.
