This prospectus supplement relates to the potential resale by the selling stockholder identified herein of up to 125,000,000 shares of our common stock issuable in connection with an unsecured convertible debenture in the aggregate principal amount of $200.0 million. The convertible debenture will be issued to the selling stockholder in a private placement in reliance upon an exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933, as amended (the “Securities Act”), pursuant to that certain Debenture Purchase Agreement (the “Debenture Purchase Agreement”), dated November 11, 2024 between us and the selling securityholder.
The registration of the offer and sale of the shares of common stock covered by this prospectus supplement does not necessarily mean that the selling stockholder will offer or sell all or any of the shares. Overview
We are building an end-to-end clean hydrogen ecosystem, from production, storage, and delivery to energy generation, to help our customers meet their business goals and decarbonize the economy. In creating the first commercially viable market for hydrogen fuel cells, we have deployed more than 69,000 fuel cell systems for forklifts and more than 250 fueling stations. We intend to deliver our hydrogen solutions directly to our customers, and through joint venture partners into multiple environments, including material handling, supply chain and logistics, e-mobility, stationary power generation, on-road electric vehicles (“EVs”) and industrial applications.
We are focused on delivering a number of hydrogen solutions to our customers. Our vertically integrated end-to-end hydrogen solutions, which are designed to fit individual customer needs, include hydrogen production equipment or the delivery of hydrogen fuel, including:

Fuel cells:   We offer stationary and mobile fuel cell products to our customers. Fuel cells are electrochemical devices that combine hydrogen and oxygen to produce electricity and heat without combustion. Our fuel cells power material handling vehicles (forklifts), replacing lead-acid batteries. We support customers at multi-shift high volume manufacturing and high throughput distribution sites where our fuel cell products provide a unique combination of productivity, flexibility, and environmental benefits.

Proton exchange membrane (“PEM”) electrolyzers:   Our electrolyzers use clean electricity to split water into hydrogen and oxygen. Using electrolyzers, customers can generate hydrogen for a variety of applications. PEM technology delivers high power density, carries low weight and volume and operates at relatively low temperatures which allows it to start quickly and cause less wear and tear on the system. We have built a state-of-the-art gigafactory to produce electrolyzer stacks in Rochester, New York.

Hydrogen liquefiers:   We have a core competency in liquefaction systems known for their operational efficiency, flexibility and reliability. Our hydrogen liquefaction system has one of the most energy-efficient designs on the market utilizing hydrogen as the refrigerant in the main liquefaction cycle.

Liquid hydrogen cryogenic solutions:   We have expertise designing and manufacturing cryogenic solutions, including liquid storage tanks, delivery trailers, vaporizers, portable equipment, and integrated control systems. Our hydrogen tanker is one of the largest and lightest trailers currently manufactured, with significant over-the-road payloads.

Hydrogen production: We began producing liquid hydrogen at our hydrogen production facilities in Kingsland, Georgia and Charleston, Tennessee in 2024. In addition, we have construction underway for several new hydrogen plants throughout the United States, including in New York, Louisiana and Texas.

DESCRIPTION OF THE CONVERTIBLE DEBENTURE
The convertible debenture will be issued to the selling stockholder in a private placement in reliance upon an exemption from registration provided by Section 4(a)(2) of the Securities Act pursuant the Debenture Purchase Agreement. The convertible debenture ranks pari passu in right of payment with all our other outstanding and future senior indebtedness.
The convertible debenture bears interest at a rate of 6.00% per annum and is payable on the second year anniversary of the issuance date of the convertible debenture (“maturity date”) or earlier redemption date. The interest rate will increase to a rate of 16.0% per annum upon the occurrence and during the continuance of an event of default under the convertible debenture.
The convertible debenture provides that the selling stockholder may convert all or any portion of the principal amount of the convertible debenture, together with any accrued and unpaid interest thereon, at an initial conversion price of $2.90 (the “Fixed Price”). In certain circumstances, the selling stockholder will be permitted to convert up to $22.5 million aggregate principal amount of the convertible debenture plus accrued and unpaid interest thereon, each calendar month beginning with December 2024, at a conversion price equal to the lower of the (1) Fixed Price and (2) 97.25% of the lowest daily volume-weighted average price for our common stock during the three trading days immediately preceding the applicable conversion date (the “Market Price”); provided that such Market Price is not less than a price that will be determined at the time of the execution of the Convertible Debenture (the “Floor Price”). The Fixed Price is subject to adjustment in certain circumstances including if we issue shares of common stock at price per share that is less than the Fixed Price or certain convertible securities with a conversion price that is less than the Fixed Price (the “Dilutive Price”), in which case the Fixed Price would be adjusted to equal the Dilutive Price, subject to certain exceptions. The selling stockholder is not permitted to convert the convertible debenture to the extent that the shares of common stock deliverable upon conversion thereof would exceed 19.99% of our outstanding shares immediately prior to executing the Debenture Purchase Agreement (the “Exchange Cap”) without prior stockholder approval.
If (1) the volume-weighted average price of our common stock is below the Floor Price for a specified period of time, (2) we have issued more than 99% of the shares of common stock available under the Exchange Cap or (3) a registration default has occurred with respect to the resale registration statement registering the shares of common stock potentially underlying the convertible debenture, then the selling stockholder may require us to amortize $22.5 million of the principal amount of the convertible debenture, a premium thereon equal to 2.75% of such principal amount and accrued interest thereon on a monthly basis, unless and until such event is cured in accordance with the provisions of the convertible debenture.
We have the right to redeem the convertible debenture if the volume-weighted average price of our common stock is less than the Fixed Price at a redemption price equal to 102.75% of the principal amount redeemed plus accrued and unpaid interest thereon. We also has the right to redeem the convertible debenture if the volume-weighted average price of our common stock is equal to or greater than the product of 1.3793 and the Fixed Price at a redemption price equal to 102.75% of the principal amount redeemed plus accrued and unpaid interest thereon or, in certain circumstances, 105.0% of the principal amount redeemed plus accrued and unpaid interest thereon.

This prospectus supplement relates to the potential resale from time to time of some or all of the 125,000,000 shares of our common stock that may be issuable in connection with the convertible debenture held by the selling stockholder or its permitted transferees or other successors in interest. The convertible debenture will be issued to the selling stockholder in a private placement pursuant to the Debenture Purchase Agreement, subject to the satisfaction of customary closing conditions, including the filing of this

prospectus supplement. Upon the satisfaction of the closing conditions, the selling stockholder is irrevocably bound to purchase the convertible debenture for $190.0 million.

OUR COMPANY
We are building an end-to-end green hydrogen ecosystem, from green hydrogen production, storage and delivery to energy generation through mobile or stationary applications, to help our customers meet their business goals and decarbonize the environment. In creating the first commercially viable market for hydrogen fuel cell technology, we have deployed more than 51,000 fuel cell systems for forklifts and more than 160 fueling stations customers use daily to fill their forklift trucks as of March 31, 2022. We intend to deliver our green hydrogen solutions directly to our customers, and through joint venture partners into multiple environments, including material handling, e-mobility, power generation, and industrial applications.
We are focused on proton exchange membrane, fuel cell and fuel processing technologies, fuel cell/battery hybrid technologies, and associated hydrogen and green hydrogen generation, storage and dispensing infrastructure. A fuel cell is an electrochemical device that combines hydrogen and oxygen to produce electricity and heat without combustion. In support of the market growth and our own ambitions, we are building a state-of-the-art gigafactory to produce electrolyzers stacks and fuel cells.
We deliver end-to-end clean hydrogen and zero-emissions fuel cell solutions for supply chain and logistics applications, on-road electric vehicles, the stationary power market, and more. Delaware Anti-Takeover Law and Provisions of our Certificate of Incorporation and Bylaws
Delaware Anti-Takeover Law.   We are subject to Section 203 of the DGCL. Section 203 generally prohibits a public Delaware corporation from engaging in a “business combination” with an “interested stockholder” for a period of three years after the date of the transaction in which the person became an interested stockholder, unless:

prior to the date of the transaction, the board of directors of the corporation approved either the business combination or the transaction which resulted in the stockholder becoming an interested stockholder;

the interested stockholder owned at least 85% of the voting stock of the corporation outstanding at the time the transaction commenced, excluding for purposes of determining the number of shares outstanding (a) shares owned by persons who are directors and also officers and (b) shares owned by employee stock plans in which employee participants do not have the right to determine confidentially whether shares held subject to the plan will be tendered in a tender or exchange offer; or

on or subsequent to the date of the transaction, the business combination is approved by the board and authorized at an annual or special meeting of stockholders, and not by written consent, by the affirmative vote of at least two-thirds of the outstanding voting stock which is not owned by the interested stockholder.

Section 203 defines a business combination to include:

any merger or consolidation involving the corporation and the interested stockholder;

any sale, transfer, pledge or other disposition involving the interested stockholder of 10% or more of the assets of the corporation;

subject to exceptions, any transaction that results in the issuance or transfer by the corporation of any stock of the corporation to the interested stockholder; and

the receipt by the interested stockholder of the benefit of any loans, advances, guarantees, pledges or other financial benefits provided by or through the corporation.
In general, Section 203 defines an interested stockholder as any entity or person beneficially owning 15% or more of the outstanding voting stock of the corporation or any entity or person affiliated with or controlling or controlled by the entity or person.
Certificate of Incorporation and Bylaws.   Provisions of our certificate of incorporation and bylaws may delay or discourage transactions involving an actual or potential change in our control or change in our management, including transactions in which stockholders might otherwise receive a premium for their shares or transactions that our stockholders might otherwise deem to be in their best interests. Governing Law
