Inc., (OTC Markets symbol ICBU), announces the acquisition of the
trademark Kidshape®. The company acquired the brand from Healthy
America Inc., (HAI), a Delaware
corporation. The transaction was finalized effective April 25, 2011 following a vote of the
shareholders of HAI. The deal included IMD restricted stock. The
company also assumed the liabilities of HAI in the transaction.
As a result of the transaction, IMD has initiated the transfer
of the mark as well as copyrighted materials belonging to the
Kidshape program to IMD, with the United States Patent Office. The
Kidshape program is a comprehensive juvenile weight-loss system
that has a history of success in the battle to combat childhood and
teen obesity. The Kidshape curriculum has been in use for over five
years and is well recognized in the pediatric obesity treatment
circles. IMD plans to use the material in conjunction with those
produced by its subsidiary, Positive Solutions Centers, to provide
a turnkey licensee program for centers and practitioners focused on
treating the current pediatric obesity epidemic. It is IMD's
intention to also approach state and local governments with the
intention of implementing the curriculum in the school system.
