8.5 PER CENT. GUARANTEED BONDS DUE 2005 AND 9.25 PER CENT. GUARANTEED
BONDS DUE 2020

Each of the extraordinary resolutions to sanction proposals for the
early repayment of the outstanding #200,000,000 8.5 per cent. Guaranteed
Bonds Due 2005 (the "2005 Bonds") and #300,000,000 9.25 per cent.
Guaranteed Bonds Due 2020 (the "2020 Bonds") of B.A.T. International
Finance p.l.c. on the terms contained in the notices of adjourned
meetings published in the Financial Times on Tuesday 24th February 1998
were passed today at adjourned meetings of the holders of the 2005
Bonds, and the 2020 Bonds, held at the offices of Herbert Smith,
Exchange House, Primrose Street, London.

The repayment prices for the 2005 Bonds and the 2020 Bonds were
determined as at 3.00 p.m. today by Barclays Capital in accordance with
the terms of the proposals as #1121.54 per #1000 principal amount of
2005 Bonds and #1332.89 per #1000 principal amount of 2020 Bonds.

Payment of the repayment price and accrued interest in respect of the
2005 Bonds will be made on presentation and surrender of the 2005 Bonds
and all unmatured interest coupons appertaining thereto at the offices
of any paying agent on or after Wednesday 18th March, 1998.  Payment of
the repayment price and accrued interest in respect of the 2020 Bonds
will be made on presentation and surrender of the 2020 Bonds and all
unmatured interest coupons appertaining thereto at the offices of any
paying agent on or after Tuesday 17th March, 1998.
