On 22 June 2001, RBC Trustees (Guernsey) Limited, being the trustees of The
Eyretel plc Team Incentive Trust (the "Trust") transferred out of the trust to
Stephen Lacey 78,800 ordinary shares in Eyretel plc at a price of 8.4p each.
Stephen Lacey (an "employee") is included as a potential beneficiary under the
Trust. The Trust is a discretionary trust for the benefit of such employees
(including the executive directors) of Eyretel plc and its subsidiaries as the
trustees may decide to benefit. The employee has notified Eyretel plc on 25 June
2001 of his technical interest in the shares to be transferred out of the Trust.

Eyretel plc Team Incentive Trust (the "Trust") transferred out of the trust to
Stephen Lacey 200,000 ordinary shares in Eyretel plc at a price of 8.4p each.
Stephen Lacey (an "employee") is included as a potential beneficiary under the
Trust. The Trust is a discretionary trust for the benefit of such employees
(including the executive directors) of Eyretel plc and its subsidiaries as the
trustees may decide to benefit. The employee has notified Eyretel plc on 26 June
2001 of his technical interest in the shares to be transferred out of the Trust.

Stephen Lacey 100,000 ordinary shares in Eyretel plc at a price of 32.9p each.
Stephen Lacey (an "employee") is included as a potential beneficiary under the
Trust. The Trust is a discretionary trust for the benefit of such employees
(including the executive directors) of Eyretel plc and its subsidiaries as the
trustees may decide to benefit. The employee has notified Eyretel plc on 26 June
2001 of his technical interest in the shares to be transferred out of the Trust.
