HEART OF MIDLOTHIAN PLC ("HEARTS")

Notification of major interest in shares


The Board of Hearts has today been notified by SMG plc ("SMG") that, following a
reorganisation of the SMG group of companies, SMG Investments Limited
("Investments") has on 10 February 2003 transferred its entire holding of
2,514,093 ordinary shares of 10p each in Hearts (19.9 per cent of the issued
share capital) to SMG Services Limited ("Services").

Each of Investments and Services is a wholly-owned subsidiary of SMG, and
accordingly ultimate beneficial ownership of the shares is unchanged.
