                Acquisition of Business Collaborator for #2.82m


CODASciSys plc ("CODASciSys"), a provider of IT services and business solutions,
is pleased to announce the acquisition of business collaborator activities ("
Business Collaborator") of Enviros Ltd, a supplier of environmental consultancy
and related software.  Business Collaborator is a leading UK based supplier of
business collaboration solutions, systems that enable organisations to share and
profit from collective corporate knowledge.


Business Collaborator is being acquired from QuantiSci Ltd, a wholly owned
subsidiary of Enviros Ltd.  The total consideration, payable on completion of
the acquisition, is #2.82m cash, subject to subsequent adjustment only on the
net value of transferred assets. The acquisition is being funded entirely from
CODASciSys cash reserves.



Business Collaborator, based in Reading, has been trading successfully as a
division of QuantiSci since 1997, selling business collaboration and knowledge
management solutions to a range of blue chip clients in a number of sectors,
with particular success in the engineering and construction sectors.  Example
customers include Costain, WS Atkins, Scottish Water and Balfour Beatty.  In the
financial year ended 31 December 2002, the company's turnover was #1.3 million
and operating profit was #360,000.  The value of net assets at the time of
acquisition is approximately #100,000.



All 15 staff, including Sanjeev Shah, Director responsible for Operations and
Sales, and all other management will move into the CODASciSys office in Reading.
  There are no financial commitments outstanding from the previous office
location.



The acquisition of Business Collaborator is not expected to make more than a
nominal contribution in 2003 as CODASciSys plans to invest in the business to
establish a baseline for healthy growth in 2004 and beyond.



The acquired business activities will be assigned to a new wholly owned
subsidiary of CODASciSys.  The acquired business will be integrated into the
SciSys Division, run by Adrian Smith, but will retain its own identity and
brand.



Commenting on the acquisition, Mike Love, CODASciSys CEO, said, "Business
Collaborator is an excellent bolt-on acquisition for SciSys.  We already have a
need for its business collaboration products within our existing customer base
and, looking further ahead, we see excellent potential for selling knowledge
management, content management and collaborative solutions to a wide range of
customers in both the public and private sectors. There is also potential
opportunity to exploit collaborative working within the CODA Division."

Business Collaborator


Knowledge Management concerns the systems and procedures required to capture,
store, analyse and publish knowledge contained within an organisation.  The
knowledge might be documents, pictures, diagrams, reports or ideas.  This

and deployment of the systems required to share knowledge.  There are a number
of situations in the SciSys userbase already where organisations could benefit
from pooling and sharing collective business knowledge and this toolset will
provide the opportunity to quickly exploit that knowledge and gain competitive
advantage.
