Directors' Shareholdings

Dairy Crest Group plc ("the Company") has been informed of the following
transactions on 11 June 2003 by directors of the Company:

Drummond Hall exercised 152,846 options granted under the Company's Long Term
Incentive Share Plan ("LTISP") for nil consideration. He then sold 104,000
shares at a price of #4.06 per share. This brings his current total holding in
the Company to 171,704 shares (0.14%).

Ian Laurie exercised 152,846 options granted under the LTISP for nil
consideration. He then sold 84,000 shares at a price of #4.06 per share. This
brings his current total holding in the Company to 204,219 shares (0.17%).

Mark Allen exercised 86,506 options granted under the LTISP for nil
consideration. He then sold 41,000 shares at a price of #4.06 per share. This
brings his current total holding in the Company to 46,848 shares (0.04%).

Peter Thornton exercised 58,238 options granted under the LTISP for nil
