Vanco announces that, following the acquisition of deferred ordinary shares of
0.1p each in Vanco Group Limited under the Vanco Group Employee Incentivisation
Schemes, it has issued 56,851 new 5p Ordinary Shares ranking pari passu with
existing Ordinary Shares to its employees, subject to the new shares being
admitted to the Official List of the UK Listing Authority and to trading on the
London Stock Exchange ("Admission"), for which application has been made. As a
result, the number of Ordinary Shares in issue will increase from 52,676,043 to
52,732,894.


Admission of the new shares is expected to take place at 8.00 am on 27 June
2003.
