Headway PLC ('Headway' or the 'Company')

Headway has today been informed by Country & Metropolitan PLC that on 27 June
2003 it disposed of 900,000 ordinary shares of 5p each in the Company to Allied
Commercial Exporters Limited. Following the disposal Country & Metropolitan PLC
now holds 940,000 ordinary shares of 5p each representing 5.79% of the issued
share capital of the Company.



Following the purchase Allied Commercial Exporters Limited holds 900,000
ordinary shares of 5p each representing 5.54% of the issued share capital of the
Company and has registered the shares in the name of its wholly owned
subsidiary, Fleet Property Limited.



In addition to Country & Metropolitan PLC's beneficial interest of 940,000
ordinary shares of 5p each in the Company, it has a further interest in 900,000
ordinary shares of 5p each in the Company which arises as a result of it being a
party to an agreement with Allied Commercial Exporters Limited to which Section
204 of the Companies Act 1985 relates.
