Director Shareholding

On 4 August 2003, Richard Pennycook, Group Finance Director of RAC plc, was
granted Options over 93,282 Ordinary 25p Shares at an exercise price of #5.59
per share.

The Options, which were granted for a nil consideration under the terms of the
RAC plc Executive Share Option Scheme (2001), will be normally exercisable in
the period from 4 August 2006 to 3 August 2010, subject to the specific
performance targets attached to the grant being achieved.
