VTR plc (the "Company")

                              Holding in Company                               

The Company received notification yesterday, in accordance with sections 198 to
202 of the Companies Act 1985 (as amended), that Peter Cundhill & Associates
(Bermuda) Ltd., on behalf of its clients, purchased 100,000 shares on 1st
August 2003 and accordingly now has a holding of 900,000 ordinary shares in VTR
plc, representing 8.11 per cent. of the Company's issued share capital. The
shares will be registered in the name of Chase Nominees Limited.
