                     Notice of AGM and Payment of Dividend                     

Notice is hereby given that the annual general meeting of shareholders of
Vantis plc (the "Company") will be held at 9 a.m. on Thursday, 25 September
2003.

Subject to shareholder approval at the AGM, the Company will now pay its final
dividend on Monday 29 September 2003 and not on 1 September 2003 as previously
announced at the time of the Company's preliminary announcement on 14 July
2003.
