OVERNET DATA PLC ("OverNet Data" or the "Company")

Further to the suspension of trading in the ordinary shares of 0.5 pence in
OverNet Data ("Ordinary Shares") on Monday 20 October 2003 the Company announces
that it is in early stage discussions with a third party which may or may not
lead to an acquisition by the Company by way of the issue of a significant
number of new Ordinary Shares. The acquisition, if successful, would constitute
a reverse takeover under the AIM Rules.
