London Bridge Software Holdings plc ("London Bridge" or the "Company").

On 27 November 2003 the trustee (the "Trustee") of the Company's employee
benefit trust, Kleinwort Benson (Guernsey) Trustees Limited purchased a total of
1,012,292 ordinary shares of 1p in the Company at the purchase price of 49p per
share. For the purposes of the Companies Act 1985 the directors of the Company
have an interest in the shares acquired by the Trustee as they are potential
beneficiaries of the employee benefit trust. In accordance with section 324 of
the Companies Act 1985 (as amended) the Company was notified on 28 November 2003
of the directors' interest in such shares.
