Listing Application

RPS Group Plc ("RPS" or "the Company")


Application has been made to the UK Listing Authority and to the London Stock
Exchange for the listing of 32,123 ordinary shares of 3 pence each ("new
ordinary shares") to (i) the Official List and (ii) trading on the London Stock
Exchange's markets for listed securities ("Admission"), as deferred
consideration for the acquisition of Ecoscope Applied Ecologists Limited.

The new ordinary shares will be issued credited as fully paid and will on issue
rank pari passu with the existing issued ordinary shares of the Company.
Following the issue of new ordinary shares, the Company will have 193,385,234
ordinary shares in issue.

It is expected that Admission will become effective and that dealings in the new
ordinary shares will commence on the Official List on 17 December 2003
