Results of meetings of noteholders


The EGM resolutions proposed in the circular dated 18 November 2003 to holders
of RAC Floating Rate Loan Notes 2004 (the "Notes"), concerning the proposal to
extend the term of the Notes from 22 July 2004 to 22 July 2010, were duly passed
at meetings held on 19 December 2003.

RAC plc has today posted another circular to all Noteholders confirming the
extension and setting out the amended Conditions that will now apply to these
Notes.

Copies of both circulars are available from the Secretary at RAC House, Boston
Drive, Bourne End, Bucks SL8 5YS.
